Terms & Conditions

Last updated: October 16, 2026

1. Acceptance of these Terms

These Terms & Conditions ("Terms") form a binding agreement between you and Mister Nguyen Inc. ("Company," "we," "us," or "our"), the operator of QuickMenu (the "Service"). By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a restaurant, business, or other entity, you represent that you have the authority to bind that entity, and "you" refers to both you and that entity. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

QuickMenu is a software-as-a-service platform that lets restaurant owners and operators ("Restaurant," "you," or "Merchant") build and publish digital menus, generate QR codes for tables, accept contactless orders from guests, and manage those orders through a built-in point-of-sale (POS) dashboard. QuickMenu is licensed under subscription plans (for example Basic, Standard, Pro, and Enterprise), billed monthly or yearly, which may differ in the number of menu items, tables, branches/locations, and features included. Unlike many ordering or delivery platforms, QuickMenu does not charge a per-order commission on sales made through the Service; access is governed solely by your subscription plan and its stated limits.

We may add, change, or remove features of the Service from time to time, and we may introduce new plans or retire existing ones. We will make reasonable efforts to notify you of material changes that affect your subscription.

3. Account Registration & Responsibilities

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the authority to operate the restaurant or business associated with your account.

4. Subscription & Billing

The Service is offered under tiered subscription plans, each with its own limits on menu items, tables, and branches/locations, billed either on a monthly or yearly recurring basis as selected at checkout.

5. Acceptable Use

You agree not to use the Service to:

We reserve the right to investigate suspected violations of this section and to suspend or terminate access to the Service for any account involved in such a violation.

6. Restaurant (Merchant) Responsibilities for Menu Content

QuickMenu is a software tool that lets you build and publish your own menu content. You, as the Restaurant, are solely responsible for:

QuickMenu is not responsible for, and disclaims all liability arising from, the accuracy of menu content, allergen or nutritional disclosures, or the quality or safety of food prepared or served by a Restaurant. Guests should always confirm allergen and ingredient information directly with restaurant staff before ordering.

7. Payments Between Guests and Restaurants

QuickMenu is a software platform, not a party to, and not the merchant of record for, any food or beverage order placed by a guest. Where payment is collected from a guest, it is processed through the Restaurant's own connected payment gateway or processor, and the resulting funds flow and contractual relationship for that transaction exist between the guest and the Restaurant, not QuickMenu or Mister Nguyen Inc. Restaurants are responsible for maintaining their own merchant account or payment processor relationship, for complying with that processor's terms, and for any chargebacks, refunds, or disputes arising from guest orders. QuickMenu's role is limited to providing the software that displays the menu, routes the order, and records it in your POS dashboard.

8. Intellectual Property

The Service, including its software, design, trademarks, and underlying technology, is owned by Mister Nguyen Inc. and its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term. You retain all rights to the menu content, images, and other materials you upload to the Service ("Your Content"), and you grant us a non-exclusive license to host, display, and transmit Your Content solely as necessary to operate and provide the Service to you and your guests.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

To the maximum extent permitted by applicable law, Mister Nguyen Inc. and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

10. Termination

You may terminate your account at any time by cancelling your subscription as described in Section 4. We may suspend or terminate your access to the Service, with or without notice, if you materially breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe harms the Service, other users, or third parties. Upon termination, your right to use the Service will immediately cease, though we may retain Your Content for a reasonable period as described in our Privacy Policy before deleting it.

11. Changes to these Terms

We may update these Terms from time to time to reflect changes in the Service, our practices, or applicable law. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page with a new "Last updated" date, or by emailing the address associated with your account. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.

12. Governing Law

These Terms are governed by, and will be construed in accordance with, the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of those courts.
